This IronStratos Pro Subscription Agreement (this "Agreement") is a binding contract between Iron Stratos LLC ("Iron Stratos," "we," "us," or "our") and the individual or entity subscribing to IronStratos Pro Web ("Customer," "you"). IronStratos is the trade name of Iron Stratos LLC. By checking the acceptance box and starting your subscription, you agree to this Agreement; if you are accepting on behalf of an organization, you represent that you are authorized to bind that organization.
Subject to this Agreement, Iron Stratos grants Customer a non-exclusive, non-transferable right to access and use IronStratos Pro Web (the "Service") during the subscription term. The Pro Web subscription includes 10 mobile seats and 5 web seats. Seats are for named users within Customer's organization.
The Service is provided on an annual subscription at $12,000 per year, billed in advance. Unless cancelled before the end of the then-current term, the subscription automatically renews for successive one-year terms at the then-current rate. Fees are non-refundable except as required by law. Customer is responsible for applicable taxes.
New subscriptions may include a 14-day free trial. If Customer does not cancel before the trial ends, the subscription converts to a paid annual term and the payment method on file is charged. Only one trial is available per Customer.
Payments are processed by our third-party payment processor, Stripe. By subscribing, you authorize Iron Stratos and Stripe to charge your payment method for the subscription fees, including on each renewal. You are responsible for keeping your payment information current. If a charge fails, we may suspend or terminate access until payment is resolved.
As between the parties, Customer owns all of its quality, operational, and other data submitted to the Service ("Customer Data"). Customer grants Iron Stratos a limited license to host, process, and use Customer Data solely to provide, secure, and support the Service. Our processing of Customer Data is further described in our Data Processing Addendum and Privacy Policy.
Customer will not (a) use the Service in violation of law; (b) attempt to gain unauthorized access to the Service or its systems; (c) reverse engineer or resell the Service; (d) upload malicious code; or (e) use the Service to store or transmit infringing or unlawful content. Iron Stratos may suspend access for conduct that threatens the security or integrity of the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Service is designed to assist Customer's quality and safety processes; it does not replace professional quality, engineering, or safety judgment, and Customer remains solely responsible for its compliance decisions and outcomes.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL. IRON STRATOS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This Agreement continues for as long as Customer maintains an active subscription. Either party may terminate for the other's material breach not cured within 30 days of notice. Customer may cancel renewal at any time, effective at the end of the then-current term. Upon termination, Customer's right to access the Service ceases, and Customer Data is handled as described in the Data Processing Addendum.
This Agreement is governed by the laws of the State of Alabama, without regard to conflict-of-law principles. The state and federal courts located in [COUNTY], Alabama will have exclusive jurisdiction over any dispute arising out of or relating to this Agreement.
This Agreement, together with the Data Processing Addendum and Privacy Policy, constitutes the entire agreement between the parties regarding the Service and supersedes prior or contemporaneous agreements on that subject.
